What is an executive session?

An executive session is a meeting of all the board members of a company without the presence of any of its executives, including the CEO. This purpose of the session is generally to allow board members to manage and discuss the performance of the CEO and his senior management team.
In addition to discussing the performance of the CEO and senior management team, compensation and team cohesion are also typically discussed during executive sessions. Executive sessions usually do not have a set time limit and can last for hours if a serious topic, such as the removal of a CEO, needs to be discussed.
